Terms of Service

By accessing, browsing, or using the Grateful website and services located at sendgrateful.com (the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

By using the Service, you represent and warrant that you are at least 18 years of age or the age of majority in your jurisdiction and have the legal capacity to enter into a binding contract.

Grateful is a web application that helps users create, customize, and send personalized, AI-generated handwritten thank you notes. The Service operates as follows:

1. Note Creation: Users input recipient information and gift/event details through the Grateful platform.
2. AI Note Generation:Grateful uses Anthropic's Claude AI to generate personalized note content based on user input.
3. Note Customization: Users review, edit, and approve each note before sending.
4. Fulfillment: Approved notes are submitted to Handwrytten, a third-party fulfillment partner, which writes and mails the physical notes via USPS.
5. Payment: Users pay per note according to tiered pricing. A deposit is required before sending.

Grateful is a pay-per-use platform with no subscription requirement. You only pay when you choose to send notes.

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that:

• You are of legal age to enter into a binding contract
• You are not prohibited by law from using the Service
• All information you provide is truthful, accurate, and complete
• You will comply with all applicable federal, state, and local laws
• You have not been previously suspended or removed from the Service

4.1 Account Creation

To use the Service, you must create an account by providing a valid email address, a password (or authentication via Google OAuth), and billing information. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Responsibility

You are solely responsible for all activity that occurs under your account. You agree to notify Grateful immediately if you suspect unauthorized access, accept full responsibility for any charges incurred, and update your account information promptly.

4.3 Account Termination

Grateful reserves the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or non-payment.

5.1 Recipient Data and Privacy

You are solely responsible for:

• Ensuring you have the legal right to collect and use the names and addresses of note recipients
• Obtaining any necessary consent from recipients before sharing their personal information with Grateful
• Ensuring recipient addresses are accurate and complete
• Complying with all applicable privacy laws when collecting and uploading recipient information

5.2 Content Review and Approval

You agree that:

• You are solely responsible for reviewing and approving all note content before submission
• AI-generated content may contain errors, inappropriate language, or factual inaccuracies
• You will proofread all notes carefully and correct any errors before sending
• Once you approve and submit a note, you are responsible for the final content

5.3 Address Accuracy

You are responsible for providing correct and complete recipient addresses. Grateful will not be responsible for notes returned by USPS due to incomplete, incorrect, or non-deliverable addresses provided by you.

5.4 Content Responsibility

You represent and warrant that all content in your notes is original or properly licensed, not defamatory, not a violation of any third-party rights, and not intended to harass, threaten, or harm any recipient.

6.1 AI Disclosure

All notes generated by Grateful are created using Anthropic's Claude AI. You acknowledge that the Service uses artificial intelligence which may produce errors or unexpected results, and that AI-generated content should not be relied upon as accurate without review.

6.2 User Responsibility for AI Content

You are solely responsible for reviewing and approving AI-generated content before sending. Grateful is not responsible for any errors, inaccuracies, or inappropriate content. By approving a note, you assume full responsibility for its content.

6.3 AI Limitations

AI-generated notes may misinterpret the nature of a gift or event, produce culturally insensitive content, include factual errors, or produce content that does not match your intended tone or voice.

6.4 Limit on AI Operations

You are permitted a maximum of two (2) AI operations per note: one initial generation or regeneration and one edit/refinement. Additional AI operations may require payment of supplemental fees.

7.1 Tiered Pricing

Pricing is subject to change with 30 days' written notice to active users.

7.2 Deposit Model

Before sending any notes, you must place a deposit:

• Deposit amount: The greater of (a) $4.99 or (b) 10% of your batch total
• Deposit credit: Your deposit is credited toward the total cost of your send
• Supplemental deposits: If you add more recipients after your initial deposit, you may be required to deposit additional funds

7.3 Payment Processing

All payments are processed through Stripe. Grateful does not store your full payment card information. You agree to provide accurate billing information and authorize charges to the payment method on file.

7.4 Promo Codes

Promo codes are non-transferable, non-refundable, may expire or be revoked at any time, and cannot be combined with other offers unless explicitly stated.

7.5 Refund Policy

Non-Refundable Sends: Once a note has been submitted to Handwrytten, it cannot be cancelled or refunded.

Deposit Refunds:Deposits may be refundable under certain circumstances at Grateful's sole discretion, including service failure, billing errors, or account closure.

To request a refund, email app.grateful@gmail.com. We will respond within 10 business days.

7.6 Taxes

You are responsible for paying any applicable sales, use, or other taxes. Grateful will collect and remit taxes where required by law.

8.1 Handwrytten Partnership

Grateful partners with Handwrytten, Inc. to write and mail physical notes. Grateful does not physically write, print, or mail notes.

8.2 Delivery Timeline

Estimated timeline:

• Writing: 2-3 business days after submission
• USPS delivery: 3-10 business days within the US
• Total: approximately 5-13 business days

These are estimates only and not guarantees. Grateful is not responsible for delays caused by USPS, Handwrytten, or other third parties.

8.3 What We Do Not Control

Grateful is not responsible for delivery delays or failures, lost or damaged mail, quality or penmanship of writing, envelope design or materials, or international delivery issues.

8.4 Address Requirements

Notes will only be submitted to Handwrytten if the recipient address is complete, valid, and has passed USPS verification.

8.5 Character Limit

Handwrytten enforces a strict 500-character limit per note (including greeting, body, and sign-off). Your note must comply with this limit before submission.

9.1 Grateful Owns the Platform

Grateful (SquiFi LLC) retains all intellectual property rights in the platform, website, software, designs, and content. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal purposes only.

9.2 User Retains Rights to Their Content

You retain all intellectual property rights in the text, data, and information you provide, personal messages, and user-generated content.

9.3 License to Grateful

By using the Service, you grant Grateful a worldwide, royalty-free, non-exclusive license to use your content for providing the Service, use anonymized data for analytics, and use feedback to improve the Service. You do not grant Grateful the right to sell or commercially exploit your personal content.

You agree not to use the Service to:

• Send notes containing threats, blackmail, or extortion, or promote illegal activities
• Harass, stalk, or threaten any person, or send unwanted abusive content
• Send defamatory or libelous statements, or disclose private information without consent
• Send mass notes for commercial solicitation or spam
• Attempt to probe, scan, or test security, overload the Service, or introduce malicious code

Violations may result in account suspension or termination, cancellation of pending sends, reporting to law enforcement, or legal action.

Your use of the Service is governed by Grateful's Privacy Policy, which is incorporated by reference into these Terms.

12.1 Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12.2 Disclaimer Regarding AI Content

You acknowledge that AI-generated content may contain errors, inaccuracies, or inappropriate material. Grateful does not review or validate AI-generated content for accuracy. You are solely responsible for reviewing and approving all content before sending.

12.3 Disclaimer Regarding Fulfillment

Grateful is not responsible for delivery failures, delays, lost mail, quality or appearance of notes, USPS service interruptions, or any issues arising from Handwrytten's fulfillment process.

12.4 Limitation of Liability

To the fullest extent permitted by law, Grateful shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages. Grateful's total liability shall not exceed the total amount you paid to Grateful in the twelve (12) months immediately preceding the claim.

You agree to indemnify, defend, and hold harmless Grateful, SquiFi LLC, and their officers, directors, employees, agents, and successors from any claims arising from your use of the Service, user-generated content, recipient information you upload, breach of these Terms, violation of third-party rights, violation of law, or claims by recipients arising from notes you sent.

14.1 Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by emailing app.grateful@gmail.com. Grateful will respond within 30 days.

14.2 Binding Arbitration

If the dispute is not resolved informally within 30 days, it shall be resolved by final and binding arbitration administered by JAMS (or AAA if JAMS is unavailable). Arbitration shall take place in Broward County, Florida, or remotely if agreed. Florida law shall apply. The arbitrator's decision is final and binding.

14.3 Opt-Out of Arbitration

You may opt out of binding arbitration by notifying Grateful in writing within thirty (30) days of first accepting these Terms. Send notice to SquiFi LLC, 555 NE 34th Street APT 904, Miami, FL 33137 or app.grateful@gmail.com.

14.4 Class Action Waiver

You and Grateful agree that disputes shall be resolved on an individual basis and not as a class action, class arbitration, or representative action.

14.5 Governing Law

These Terms are governed by the laws of the State of Florida. Any dispute that cannot be resolved through arbitration shall be brought in the courts located in Broward County, Florida.

15.1 Termination by You

You may terminate your account at any time. Upon termination, your account will be deactivated, you will lose access to the Service, and your data will be handled in accordance with the Privacy Policy.

15.2 Termination by Grateful

Grateful may suspend or terminate your account at any time with or without cause. If terminated for cause, no refund of deposits will be provided.

15.3 Effect of Termination

Upon termination, all licenses terminate immediately, you remain liable for charges incurred, and Sections 5 through 14 survive termination.

Grateful may modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after changes constitutes acceptance.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.

Neither party shall be liable for failure to perform its obligations if caused by circumstances beyond its reasonable control, including acts of God, war, government actions, pandemics, internet outages, or USPS service suspensions.

These Terms, along with the Privacy Policy, constitute the entire agreement between you and Grateful regarding the Service.
